PALLEXA website terms of service

1. General provisions

These Terms set out the rules for using the website available at https://pallexa.pl and https://www.pallexa.pl, together with the types and scope of services provided by electronic means. The Terms are made available free of charge before any use of the services, in a form that allows them to be downloaded, stored and printed.

In these Terms, the following meanings apply:

  • Provider - Bartosz Rogoziński, running a sole proprietorship registered in the Polish CEIDG register, tax ID (NIP) 7891790236, REGON 385525543, ul. Pola 1B, 62-300 Września, Poland, operating the Website under the PALLEXA brand;
  • Website - the site at https://pallexa.pl together with its subpages;
  • User - a business using the Website, including a person acting on behalf of or for a business;
  • Services - the services provided by electronic means listed in section 3;
  • Lot - a batch of goods offered or sought in wholesale trade, described on the Website or in correspondence;
  • Alerts - the service of notifying about available Lots, described in section 6;
  • Newsletter - the service of notifying about new articles on the Website's blog, described in section 7.

The Website is intended for businesses only. The Provider does not sell to or serve consumers through the Website within the meaning of art. 22[1] of the Polish Civil Code.

2. The Provider and contact details

The Provider is Bartosz Rogoziński, running a sole proprietorship registered in the Polish Central Register and Information on Economic Activity (CEIDG), tax ID (NIP) 7891790236, REGON 385525543, with the business and correspondence address: ul. Pola 1B, 62-300 Września, Poland. PALLEXA and DBtrade are trading names of the Provider.

3. Types and scope of services provided by electronic means

The Provider supplies the following Services electronically:

  • access to the Website's content - free browsing of information about the Provider's business, goods categories, available Lots and blog articles;
  • the enquiry form - free submission of an enquiry about selling goods to the Provider or buying goods from the Provider (section 5);
  • Alerts about available Lots - free delivery of information about new Lots and commercial information to a given e-mail address, based on separate consent (section 6);
  • Newsletter - free delivery of information about new articles published on the Website's blog to a given e-mail address, based on separate consent (section 7).

All Services are free of charge. Using the Website requires no registration and no account; the Provider does not maintain User accounts.

4. Conditions of use and technical requirements

To use the Website you need a device with internet access and a current browser supporting HTTPS and JavaScript, and - for the enquiry form and the Alerts - a working e-mail address. Optional analytics technologies are activated only after consent; details are in the Privacy Policy.

The Provider replies to enquiries submitted through the form within 24 hours on business days. The period runs from receipt of the enquiry; enquiries received on non-working days are handled on the first following business day.

The User undertakes to use the Website lawfully and in good faith, and in particular:

  • not to supply unlawful content, including content infringing third-party rights;
  • not to provide false data, or third-party data without a basis for doing so;
  • not to disrupt the Website's operation, including attempts at unauthorised access, automated bulk submissions or circumventing safeguards;
  • not to use the Website to send unsolicited commercial information.

The Provider may limit or block access to the Services for a User who breaches the above rules, to the extent necessary to stop the breach.

5. The enquiry form

The enquiry form serves to pass the Provider the information needed for an initial assessment of goods or to match a wholesale offer. Submitting the form is free of charge and obliges neither party to enter into a contract.

After submitting the form, the User receives an automatic confirmation at the given e-mail address, together with a copy of the information provided. The confirmation is informational only and constitutes neither acceptance of an offer nor conclusion of a contract.

Information presented on the Website, including Lot descriptions and replies to enquiries, does not constitute an offer within the meaning of art. 66 of the Polish Civil Code, but an invitation to conclude a contract within the meaning of art. 71 of that Code, unless expressly stated otherwise.

The Provider may decline to continue discussions without giving reasons, in particular where the User is not a business, holds no active VAT or EU VAT number, or where the subject of the enquiry falls outside the Provider's scope of business.

6. Alerts about available Lots

The Alerts consist of sending information about new Lots and commercial information about the Provider's business to a given e-mail address. The Service is free of charge and voluntary.

Signing up happens in two steps (double opt-in): after the form is submitted, the Provider sends a message with a confirmation link to the given address, and the Service begins only once the User confirms it. Until confirmation the Provider neither subscribes the User nor stores the data supplied in the form. The confirmation link is valid for 7 days.

The User may cancel the Alerts at any time, without giving reasons and free of charge, by writing to sales@pallexa.pl or replying to any message received. Cancellation amounts to withdrawal of consent and takes effect without delay.

The Provider guarantees no particular frequency of Alerts; they are sent when Lots appear that may match the User's interests. The Provider may discontinue the Alerts, informing subscribed Users accordingly.

7. Blog newsletter

The Newsletter consists of sending information about new articles published on the Website's blog to a given e-mail address. The Service is free of charge and voluntary.

Signing up happens in two steps (double opt-in): after the form is submitted, the Provider sends a message with a confirmation link to the given address, and the Service begins only once the User confirms it. Until confirmation the Provider neither subscribes the User nor stores the data supplied in the form. The confirmation link is valid for 7 days.

The User may cancel the Newsletter at any time, without giving reasons and free of charge, by writing to sales@pallexa.pl or replying to any message received. Cancellation amounts to withdrawal of consent and takes effect without delay.

The Provider guarantees no particular frequency of the Newsletter; messages are sent when new articles are published on the blog. The Provider may discontinue the Newsletter, informing subscribed Users accordingly.

8. Nature of Lot information and conclusion of contracts

Information about Lots is indicative and may change: availability, quantity, condition and location of goods depend on current trading. The Provider takes care to keep the data current but does not guarantee that a particular Lot is available at the moment of an enquiry.

The Website is not a transaction platform. No sales contract is concluded, no order is placed and no payment is made through it. The terms of each transaction - including price, method and date of collection, transport and settlement - are agreed individually outside the Website and confirmed separately, in documentation appropriate to that transaction.

The Provider buys goods outright and sells them in its own name; it does not act as an intermediary, commission agent or matchmaking platform.

9. Complaints about the Services

Complaints about the Services provided electronically, including the operation of the Website, the enquiry form and the Alerts, may be submitted to sales@pallexa.pl or in writing to the Provider's correspondence address given in section 2.

A complaint should include contact details and a description of the objections. If the information provided does not allow the matter to be assessed, the Provider will ask for it to be supplemented, specifying what is missing.

The Provider considers a complaint within 14 days of receipt and communicates the outcome in the same form in which the complaint was submitted, or in another form agreed with the complainant. Each case is assessed individually, taking account of its circumstances.

Complaints concerning goods or the performance of a specific transaction are handled on the terms agreed for that transaction and, in the absence of separate arrangements, under the provisions of the Polish Civil Code governing relations between businesses.

10. Liability

The Provider supplies the Services with due care and takes steps to keep the Website functioning properly. The Provider does not, however, guarantee uninterrupted availability: interruptions may occur due to technical work, faults or the actions of infrastructure providers.

The Provider is not liable for the consequences of a User supplying incorrect or out-of-date data, in particular a wrong e-mail address or phone number, nor for non-delivery of a message for reasons attributable to the User's mail provider, including classification of the message as unwanted.

Towards Users who are businesses, the Provider's liability for supplying the free Services is limited to damage caused intentionally, to the extent permitted by law.

The Provider is not liable for content published on external services linked to from the Website.

11. Rights to the Website and its content

The Website and its elements - in particular content, graphics, the PALLEXA and DBtrade trade marks, layout and code - are legally protected and belong to the Provider or are used under appropriate rights.

Using the Website confers no rights to any of its elements. Copying, distributing or using the Website's content for commercial purposes requires the Provider's prior consent, except for use permitted by law.

12. Personal data

The rules for processing personal data - purposes, legal bases, recipients, retention periods and data subjects' rights - are described in the Privacy Policy available on the Website. The Privacy Policy supplements these Terms and does not limit any rights arising from data protection law.

13. Changes to the Terms

The Provider may amend the Terms, in particular where the scope or manner of providing the Services changes, the Provider's details change, new Website features are introduced, or the law changes.

The current version of the Terms is published on the Website with its version number and effective date. A change does not affect the terms of transactions agreed before it took effect. Users of the Alerts are informed of any material change at the e-mail address provided; not cancelling the Alerts after receiving that information is treated as continued use of the Service on the amended terms.

14. Final provisions

Matters not covered by these Terms are governed by Polish law, in particular the Civil Code and the Act on Providing Services by Electronic Means.

Disputes arising from the use of the Services by Users who are businesses are resolved by the court having jurisdiction over the Provider's registered address. The parties may at any time attempt to resolve a dispute by agreement.

If any provision of these Terms proves invalid or ineffective, the remaining provisions stay in force, and the provisions of law apply in place of the invalid one.
